General terms and conditions of sale and use

PRESENTATION

These general terms and conditions of sale apply to professional or non-professional Sellers and non-professional Buyers using the website weprecious.com which offers to sell and buy Products including second-hand jewellery, watches and ornaments. The website weprecious.com allows contracts for the sale of products to be concluded without recourse to auctions.

These general terms and conditions shall prevail over any other general or special terms and conditions not approved by Very Précieuse SAS. The Seller and the Buyer are subject to these general terms and conditions as soon as they are accepted when accessing the site or registering on the site, whether by creating an account or by submitting a new piece of jewellery for sale, and until the account is deleted, whether or not the Seller has sold its products and whether or not the Buyer has purchased the products offered.

All professional sellers must declare themselves as such to Very Précieuse SAS and this information will be specified on the site. If they fail to do so, they may be liable to the penalties provided for in Article L. 132-2 of the French Consumer Code for misleading commercial practices.

ARTICLE 1 - Purpose of the General Terms and Conditions

The online advertising service of Very Précieuse SAS (the Platform) enables non-professional buyers (the "Customers" or the "Buyers") to sell the products of professional or non-professional sellers (the "Sellers") and to conclude direct sales with them.

Very Précieuse SAS is not the seller of the Products purchased through the website. weprecious.com.

These General Terms and Conditions of Sale (the "GTCS") describe the terms and conditions of distance selling of goods and services between the Sellers and the Buyers via the website weprecious.com and define the obligations and rights of the Parties in this respect.

These General Terms and Conditions define the conditions under which Very Précieuse SAS's online advertising service provides Buyers and Sellers with the technological tools enabling them to sell and acquire, via Very Précieuse SAS's online advertising service, second-hand Products offered for sale on the Internet site weprecious.com

They must be accepted by the Buyer and the Seller in order to use the services of Very Précieuse SAS., by validation when registering on the website weprecious.com and every time you make a purchase via the site weprecious.com

As part of the online intermediation service provided by Very Précieuse SAS, the Seller agrees to give Very Précieuse SAS a mandate to carry out the following:

- publish on the site weprecious.com As a sales offer, the product sheet with the content transmitted by the seller and completed by Very Précieuse's product experts after checking the products based on the photos or during the photo shoot.

–  accepter le référencement et les annotations sur le site weprecious.com of the offer to sell 

• accept orders from purchasers at the stated price in the name and on behalf of the seller
• To accept, in the name and on behalf of the Seller, orders from purchasers at the negotiated price after acceptance by the Seller of the Offer to Purchase, received in writing (email, WhatsApp, messenger service or SMS).

– recevoir au nom et pour le compte du vendeur sur un compte séquestre les sommes versées par un acheteur  au titre de la transaction

–  conserver les fonds durant les délais de rétraction et de réclamation de l’acheteur.

- forwarding and processing customer complaints and requests for withdrawal as appropriate 

- receive and transfer to the seller the sums involved in the transaction, after deduction of the fees and commissions due to Very Précieuse SAS

The provisions of these general terms and conditions in no way involve Very Précieuse SAS as a seller or reseller of products. Very Précieuse SAS acts solely as an intermediary for an online advertising service between a Seller and a Buyer. 

ARTICLE 2 - Scope of application

These General Terms and Conditions of Sale product apply, without restriction or reservation, to all sales of Products concluded between the Seller and the Buyer of the Product, via the website weprecious.com.

They relate solely to relations between the Sellers and the Purchasers via the Very Précieuse SAS website, who acknowledge that they have the capacity required to contract and purchase the Products offered on the website. weprecious.com .

These General Terms and Conditions of Sale apply, without restriction or reservation, to the use of the services and technological tools made available to Sellers and Buyers by Very Précieuse SAS.

These tools enable Sellers to register on the website weprecious.comto list and describe the Products they offer for sale on the Website weprecious.com after Very Précieuse SAS has previously adapted and checked the sales offers for online publication, to accept and record their sales of Products, to collect the price, to manage the after-sales service and to communicate with Very Précieuse SAS if necessary.

Ces outils permettent aux  Acheteurs de s’inscrire sur le site Internet weprecious.comto order Products, pay for them, confirm receipt and contact Very Précieuse SAS if necessary.

These General Terms and Conditions of Sale remain in force from the time they are posted online. 

These General Terms and Conditions of Sale can be accessed at any time on the website weprecious.com and shall prevail, where applicable, over any other version or any other contradictory document.

As these General Terms and Conditions of Sale may be subject to subsequent modifications, the version applicable to a transaction carried out with a Buyer and a Seller is that in force on the website on the date the order is placed.

Changes to these Terms and Conditions are binding on users of the website. weprecious.com from the date they go online and cannot be applied to transactions concluded previously.

ARTICLE 3 - Characteristics of the products offered for sale on the website weprecious.com

The Products offered for sale on the website weprecious.com are the subject of a description enabling the Buyer to know their main characteristics, and in particular the specifications, illustrations and indications of the dimensions or capacity of the Products, as well as their price.

The presentation of substantial information, within the meaning of the applicable regulations, concerning the Products is the responsibility of the Seller after prior validation of the presentation by Very Précieuse SAS, which undertakes to comply with the corresponding provisions of the Consumer Code.

The Buyer is obliged to read them before placing an order.

The choice and purchase of a Product are the sole responsibility of the Buyer.

The buyer must refer to the description of each Product in order to find out about its properties, essential characteristics and delivery times.

The Products may not be exchanged by Very Précieuse SAS, as they are unique models offered for sale by the seller.

Contractual information is presented in French and is confirmed at the latest when the order is validated by the Buyer.

The main parameters that determine the ranking of Products from queries consisting of a keyword, a phrase or the input of other data, and their order of importance, are accessible from the online interface and from the page on which the results of the query are presented.

The Products presented on the website weprecious.com are available for sale in the following territories: 

• METROPOLITAN FRANCE and overseas departments, 

In the event of an order to a country other than mainland France and the French overseas departments, the Buyer is the importer of the Product(s) concerned.

For all Products dispatched outside the European Union and French overseas departments and territories, the price will automatically be calculated exclusive of tax on the invoice.

Customs duties or other local taxes or import duties or state taxes may be payable. These shall be borne and are the sole responsibility of the Buyer.

ARTICLE 4 - Services offered by the site weprecious.com to the Seller

To use the services of Very Précieuse SAS, the Seller must accept these GTC and register on the website weprecious.com.

Strictly confidential and personal identifiers and passwords are then allocated.

The Seller undertakes to keep his codes confidential and not to divulge them to any person whatsoever. The Seller is solely responsible for the use of his codes and access to the site. weprecious.comIn the absence of proof of fraudulent use for which it cannot be held responsible.

Any fraudulent use of these codes of which the Seller becomes aware must immediately be notified in writing to Very Précieuse SAS.

In the event of failure by the Seller to comply with these GTC, Very Précieuse SAS reserves the right to interrupt access temporarily or permanently, suspending or terminating these GTC without notice or compensation.

The fact that a Seller registers on the Internet site weprecious.com The Seller expressly acknowledges this and waives the right to rely on any contradictory document which would be unenforceable against Very Précieuse SAS.

Individual Sellers who have reached the age of majority as well as professional Sellers who have registered on the site weprecious.com may apply to Very Précieuse SAS for an offer to sell products on the platform.

The offer may not be published and may be withdrawn by Very Précieuse SAS for the following reasons:

- the product on offer is prohibited because it is contrary to public decency and not authorised under legislative, regulatory or contractual provisions

For example, products that are counterfeit within the meaning of the Intellectual Property Code, products sold in violation of exclusive and selective distribution networks, stolen products, products that cannot be appraised, products with a known manufacturing defect, products recognised as being dangerous, etc.

- an error has been found on the product sheet sent by the seller before it went online

- a product that has already been sold or offered for sale on another site,

- the Seller's account which has been suspended or deleted for any reason by Very Précieuse SAS

- a product that has already been the subject of a dispute between the Seller and Very Précieuse SAS

The products given by the Seller to the carrier for delivery to Very Precieuse SAS must conform to the products shown in the photos and descriptions sent by the Seller beforehand. 

Very Précieuse SAS may refuse to put a product online if it does not meet the site's selection criteria. weprecious.com (à titre d’exemple : un produit non signé par l’une des marques de joaillerie acceptées par Very Precieuse, un produit non joailler ou un bijou fantaisie, un produit trop abimé, un modèle particulier n’étant plus en catalogue chez la marque, un modèle connu de nos experts pour avoir connu des problèmes qualité lors de sa commercialisation par la marque, un modèle dont la demande est faible, un produit soupçonné d’être frauduleux…) et ce sans que la responsabilité de cette dernière puisse être engagée  par le vendeur.

The offers are referenced according to a selection made by the Very Précieuse SAS teams, taking into consideration elements such as price, category, brand representativeness, product value according to expertise, product age, promotional offers according to the commercial will of Very Précieuse SAS. The price offered on the site is set by the Seller after a proposal from Very Précieuse SAS according to a scale that takes into account the condition, the year of purchase and the popularity of the product on the market. If the price charged by the Seller is too high and does not correspond to the value of the product on the market, Very Précieuse SAS may refuse to put the product online without the Seller being able to hold Very Précieuse SAS liable. The Seller may also refuse the price proposed by Very Précieuse SAS, in which case the Seller may not put the Product online.

Referencing can also be based on criteria chosen by Buyers, such as more or less recent products, more or less expensive products, or the most popular products.

Product evaluations are also carried out by Very Précieuse SAS depending on the product offered for sale.

The seller may not hold Very Précieuse SAS liable on the basis of the referencing carried out and the scores awarded by Very Précieuse SAS.

ARTICLE 5 - Services offered by the site weprecious.com to the Buyer

Access to the site weprecious.com is strictly reserved for non-professional Buyers acting in a private capacity, which the Buyer declares and acknowledges when using the services of the company Very Précieuse SASIn addition, they undertake to carry out in good faith all purchases made through Very Précieuse SAS.

Use of the site weprecious.com is free for Buyers (excluding any connection costs charged by the operator) and there is no obligation to purchase.

Only the purchase of Products is subject to payment, in accordance with the terms and conditions set out, which the Buyer also accepts when placing an order via the website. weprecious.com.

Strictly confidential and personal identifiers and passwords are then allocated.

The Buyer undertakes to keep these codes confidential and not to divulge them to any person whatsoever.

The Buyer is solely responsible for the use of these codes and access to the website. weprecious.comIn the absence of proof of fraudulent use for which it cannot be held responsible.

Any fraudulent use of these codes of which the Purchaser is aware must be notified immediately in writing to Very Précieuse SAS.

In the event of failure by the Buyer to comply with these GCS, Very Précieuse SAS reserves the right to interrupt access temporarily or permanently, suspending or terminating these GCS without notice or compensation.

ARTICLE 6 - Period of validity of the Product offer

Product offers are subject to availability, as specified when the order is placed.

ARTICLE 7 - Buyer's order and delivery

7-1 : Placing the order

The product sheet on the site indicates whether the product is offered for sale by a non-professional Seller or a professional Seller.

The prices of the products offered for sale include all taxes, delivery charges and Authenticity Guarantee charges. 

Delivery charges  (INCL. VAT)

1 trip Europe: 35 Eur

Authenticity Guarantee fees (incl. VAT)

As remuneration for its Authenticity Guarantee and expertise services, Very Précieuse SAS will receive from the Buyer, for each order of Products placed on the website weprecious.com the "Authenticity Guarantee Fee" according to the scale below based on the Price inclusive of tax:

From 200 to 600 Euros: 15 Euros
From 600 to 1200 Euros: 30 Euros
From €1,200 to €3,000: €65
From €3,000 to €5,000: €115
From €5,000 to €10,000: €185
De 10000 à  20000 Euros : 325 Euros
From 20,000 to 50,000 Euros: 500 Euros
+ €50,000: €750

The order constitutes the conclusion of the contract subject to conditions precedent:

1. receipt of the product by Very Précieuse SAS
2. authenticity checks carried out by Very Précieuse SAS

Very Précieuse SAS reserves the right to cancel the order and reimburse the Buyer if the Seller does not receive the product or if the authenticity check is deemed negative.

If the Buyer does not receive the products within thirty (30) days of the date of the order and payment of the price, the Buyer may cancel the sale after requesting Very Précieuse SAS to remedy the situation within a further ten (10) days.

 The Buyer will be reimbursed within ten ( 10 ) days from the date of receipt of the request to cancel the sale.

It is up to the buyer to select on the website weprecious.com the Products he/she wishes to order, as follows:

1) The purchase of a product is only validated when the buyer pays by secure electronic payment on the website weprecious.com. 

2) The sale is deemed to have taken place when weprecious.com acknowledges receipt and deposits in an escrow account the full price of the transaction carried out by the buyer. 

3) Payment of the transaction price by the buyer to weprecious.com is deemed to be agreement to the seller's offer.

Customers can check the details of their order and its total price and correct any errors before confirming their acceptance.

It is the customer's responsibility to check the accuracy of the order and to report or rectify any errors immediately.

Registering an order on the website weprecious.com est réalisé lorsque le Client accepte les présentes Conditions Générales de Vente  en cochant la case prévue à cet effet et valide sa commande.

This validation implies acceptance of these General Terms and Conditions of Sale in their entirety.

An e-mail confirming that the order has been taken into account will be sent by Very Precieuse SAS.

At the same time, the Seller of the Product(s) selected is informed by Very Précieuse SAS of the Customer's order.

In the absence of confirmation of the order by Very Précieuse SAS, the sales contract concluded with the Customer is automatically terminated and each party is released from its obligations. The Customer's bank account will not be debited.

If the order covers several Products, only the sale of Products for which the order has not been accepted by the Seller shall be cancelled.

In the absence of proof to the contrary, the data recorded in the computer system of Very Précieuse SAS constitutes proof of all transactions concluded between the Seller and the Customer.

7-2 : Payment of the price

The price of the product, including delivery charges and the Authenticity Guarantee charges, is payable in cash to Very Précieuse SAS, which collects the amount corresponding to the price of the product in the name and on behalf of the Seller, in full on the day the order is placed by the Customer by secure payment, using the following methods:

• by credit card: Carte Bancaire, Visa, MasterCard, American Express, other credit cards
• by bank transfer.
• by Paypal
•  

7-3 : Delivery

The products are sent to the Customer by Very Précieuse SAS using an approved carrier that guarantees all safety regulations. 

As an intermediary, the date of delivery of the product to the Buyer depends on the date on which Very Précieuse SAS receives the product dispatched by the Seller. However, the Seller undertakes to send the product to Very Précieuse SAS using the carrier appointed by Very Précieuse SAS within four (4) days following confirmation of the sale.

Consequently, Very Précieuse SAS cannot commit to a fixed delivery date, the dispatch date however being a maximum of thirty (30) calendar days from the placing of the order and payment of the price by the Purchaser.

Any customs duties are the responsibility of the Buyer and will be added to the price of the product.

7-4: Receipt and verification of an order

The Buyer shall check the apparent condition of the packaging and the product before signing the delivery note issued by the carrier.

The Buyer must keep a copy of the delivery note, which must be attached to the e-mail sent in the event of a fault.

Si l’Acheteur n’a pas reçu le produit à compter de la date estimée de livraison ou après que le produit ait été  indiqué comme livré par le transporteur, il doit en informer immédiatement la société Very Précieuse SAS.

7-5 . Modifying the command

Once confirmed and accepted by Very Précieuse SAS, under the conditions described above, the order cannot be modified.

7-6. Order cancellation

Once confirmed and accepted by Very Précieuse SAS, under the conditions described above, the order cannot be cancelled, except in the event of the exercise of the right of retraction, complaint or force majeure.

7-7 - Disputes relating to products

Si l’acheteur ne reçoit pas ses produits dans les trente ( 30 ) jours  suivant la date de sa commande et le paiement du prix, il bénéficie de la possibilité d’annuler la vente après avoir demandé à la société Very Précieuse SAS de remédier à la situation dans un délai de dix ( 10 ) jours supplémentaires. Le vendeur sera remboursé dans les dix ( 10 ) jours à compter de la date de réception de la demande d’annulation de la vente par l’acheteur. Si l’acheteur reçoit les produits après qu’il ait annulé la vente, il devra retourner à ses frais les produits pour obtenir le remboursement du prix.

Very Précieuse SAS cannot be held responsible for the cancellation of the sale due to failure to receive the product as a result of a delay in the transmission of the products by the seller, a delay in the physical assessment of the conformity of the product or delays in delivery caused by the carrier.

Purchasers may contact Very Précieuse SAS and address any complaints regarding Products ordered by email to hello@weprecious.com.

The Buyer must confirm to Very Précieuse SAS, within two (2) days at the latest of delivery, the correct receipt of each Product ordered.

Failing this, the Product will be deemed to have been received by the Buyer.

L’acheteur est tenu de vérifier l’état des Produits délivrés. Il dispose d’un délai de  cinq (5) jours à compter de la délivrance pour formuler par courrier électronique toutes réserves ou réclamations pour non-conformité du produit avec la commande, défaut ou vice apparent (par exemple colis endommagé déjà ouvert …), avec tous les justificatifs y afférents (photos notamment).

Once this period has elapsed and if these formalities have not been complied with, the Products will be deemed to be in conformity and free from any apparent defect.

As sales are concluded between the Buyer and the Seller via Very Précieuse SAS, the Seller is personally liable for any claims made by the Buyer in relation to the products sold. These complaints will be communicated to the Seller by Very Précieuse SAS as soon as they are received.

The Sellers must give priority to the amicable resolution of disputes.

If, after examination, the customer's complaint is valid and justified, the buyer will be reimbursed the amount of the transaction held in the seller's escrow accounts.

If the complaint is justified and the price has already been paid to the seller, the latter is obliged to return the sale price to Very Précieuse SAS so that the latter can reimburse the Buyer for the Products ordered.

You are reminded that, in accordance with the regulations in force, Very Précieuse SAS offers Customers a mediation service for consumer disputes relating to transactions carried out via the Internet site weprecious.com.

The costs of mediation shall be borne by the Seller.

The assessment of the validity of the purchaser's claim falls within the exclusive competence of Very Précieuse SAS after information has been obtained from the seller. The seller may not hold Very Précieuse SAS liable if it disputes Very Précieuse SAS's assessment of the customer's complaint.

If the Buyer exercises his/her right of withdrawal, Very Précieuse SAS will reimburse the sums paid (including delivery costs) using the same method of payment as that used at the time of purchase, no later than fourteen (14) calendar days following the date on which the Buyer exercised his/her right of withdrawal.

7-7: Right of withdrawal and complaint

Conformément aux dispositions légales en vigueur, l’Acheteur dispose d’un délai de quatorze ( 14 ) jours à compter de la réception du Produit pour exercer son droit de rétractation, sans avoir à justifier de motifs ni à payer de pénalité, à fin de remboursement, à condition que les Produits soient retournés en parfait état et non utilisés dans les douze (12)  jours suivant la notification de la décision de rétractation de l’Acheteur qui sera répercutée par la société Very Précieuse SAS au Vendeur.

Returns must be in their original condition and complete (all packaging, accessories, instructions, seals in place, etc.) so that they can be put back on the market, accompanied by the purchase invoice.

Damaged, worn or incomplete Products will not be accepted for return or refund.

Products whose seal has been cut, destroyed or replaced will not be refunded.

The right of withdrawal can be exercised online, using the withdrawal form on the website weprecious.comIn this case, Very Précieuse SAS will immediately send the Purchaser an acknowledgement of receipt, or any other unambiguous statement expressing the Purchaser's wish to withdraw. 

If the right of withdrawal is exercised within the aforementioned period, only the price of the Product(s) purchased, the Authenticity Guarantee costs and the delivery costs will be reimbursed; the cost of returning the Product(s) will be borne by the Buyer.

Products returned in application of the right of withdrawal travel at the Buyer's risk. It is the Buyer's responsibility to provide proof of this return (RAR mail) and to take out the necessary insurance. No product not received will be reimbursed.

The refund will be made within fourteen (14) days of notification of the decision to withdraw and after receipt of the undamaged products returned with the seals, directly by Very Précieuse SAS, in the name and on behalf of the Seller, by the same means of payment as that used for the purchase. 

Conformément à l’article L 221-28 du Code de la consommation, l’Acheteur  ne peut exercer ce droit à rétractation dans certain cas énumérés audit article.

Buyer's complaint

L’Acheteur dispose d’un délai de  cinq (5) jours à compter de la délivrance pour formuler par courrier électronique toutes réserves ou réclamations pour non-conformité du produit avec la commande, défaut ou vice apparent (par exemple colis endommagé, déjà ouvert …), avec tous les justificatifs y afférents (photos notamment).

La réclamation devra préciser de manière claire les raisons de la réclamation et de la non-conformité apparente  par rapport à la description effectuée sur site. Le Vendeur sera immédiatement informé de la réclamation. L’Acheteur comme le Vendeur doivent coopérer avec les services de la société Very Précieuse SAS pour le traitement de la réclamation. À défaut, la réclamation ne sera pas traitée.

In the event of a claim, the Seller's escrow account may be temporarily blocked until the dispute has been resolved.

Si la réclamation est justifiée et après acceptation par écrit de la société Very Précieuse SAS, les produits seront retournés en parfait état et non utilisés dans les quatre (4)  jours suivant la notification de la décision d’acceptation de la réclamation de l’Acheteur.

Returns must be in their original condition and complete (all packaging, accessories, instructions, seals in place, etc.) so that they can be put back on the market, accompanied by the purchase invoice.

Products that are damaged, worn or incomplete will not be accepted for return or refund.

Products whose seal has been cut, destroyed or replaced will not be refunded.

Products returned in application of the right of withdrawal travel at the Buyer's risk.

The refund will be made within fourteen (14) days of notification of acceptance of the claim and after receipt of the returned undamaged products with seals, directly by Very Précieuse SAS, in the name and on behalf of the Seller, by the same means of payment used for the purchase. 

ARTICLE 8 - Buyer's obligations

L’Acheteur s’engage à respecter l’ensemble des lois et des règlements relatifs à l’acquisition  des biens effectués sur le site weprecious.com. He may be required by the authorities to pay VAT and customs duties when purchasing products from Sellers located outside the European Union.

The Purchaser confirms that he/she has a standard mailbox and a personal address in order to receive mail and any products. Very Précieuse SAS may, in order to combat possible fraud, carry out searches and ask the Purchaser other questions to validate his/her identity and address. If the Purchaser fails to provide the information requested, Very Précieuse SAS may refuse to process a purchase request and may cancel the transactions carried out by the Purchaser.

The Purchaser undertakes to use his/her own means of payment. In the event of non-payment as a result of fraudulent use of a means of payment, Very Précieuse SAS will refuse to carry out any current or future transactions, and will charge the Buyer a handling fee equal to 30 % of the amount of the non-payment.

If the Purchaser notices that a product offered on the site is prohibited from sale, he/she undertakes to immediately inform Very Précieuse SAS of the situation and not to directly or indirectly purchase such products.

The Buyer undertakes not to insert any disparaging notices or notices damaging to the image of Very Précieuse SAS.

ARTICLE 9 - Obligations of the Seller

Contracts for the sale of Products offered on the website weprecious.com are concluded through Very Précieuse SAS between the Seller and the Buyer.

The Sellers undertake to implement, in good faith, all the means necessary to fulfil their obligations by delivering Products that comply with the proposals and photos for sale.

Professional Sellers, who must identify themselves as such on the website weprecious.com undertake to comply with the legislation applicable to the exercise of a commercial activity (in particular registration, accounting, social and tax obligations) as well as the laws and regulations applicable to the Products sold via the Internet site weprecious.com.

The Sellers declare that they are the sole owner of the Products offered for sale on the website weprecious.com or be duly authorised to sell it.

The Seller shall be obliged to give his/her exact identity and to provide an identity document, failing which the product may not be placed online.

In particular, Sellers shall refrain from offering for sale Products the marketing of which is regulated by virtue of legislative, regulatory or contractual provisions prohibiting or restricting the sale of Products via the platform.

The Sellers are solely responsible for the sale of the Products according to the product sheet prepared by Very Précieuse SAS that they offer on the website. weprecious.com and undertake to ensure that the products offered for sale are not counterfeit, stolen or concealed.

The Seller undertakes to draw up, in good faith, precise and accurate descriptions of the Products offered for sale via the Internet site, which are not likely to mislead either the Customers or Very Précieuse SAS.weprecious.comIn the event of a dispute between the Buyer and the Seller, the Buyer shall be entitled to rely on the terms and conditions of sale of the Products, both as regards their essential characteristics (origin, composition, accessories, conditions of use, country of dispatch, etc.) and as regards the price and the guarantees granted or the condition of the Products in the case of second-hand products. 

It undertakes to provide, in a legible and comprehensible manner, prior to the sale, all the information referred to in article L 221-5 of the Consumer Code.

The Seller is solely responsible for the request to put a product up for sale and guarantees the accuracy of the information appearing in the descriptions of the Products placed online on the Website. weprecious.com.

At the first request of Very Précieuse SAS, the Seller shall be obliged to provide documents justifying the ownership rights to the product, the origin of the product and any other request that may be necessary to mention in order to place the product online.

In particular, the visuals must comply with the Products offered for sale and respect the rights of third parties. The visuals produced by Very Précieuse SAS have been produced with the agreement of the Seller.

The Seller undertakes to inform the Platform of any changes made to the item in relation to the original item, and to inform the Platform of the origin of the item.

The Seller undertakes to ensure the availability of the Products it offers for sale through Very Précieuse SAS and to request the immediate removal of Products that are no longer available. The Seller is solely responsible in the event of the unavailability of Products over which it has sole control.

Les Vendeurs, qui sont informés des commandes des Acheteurs par la société Very Précieuse SAS, doivent confirmer la commande concernée dans un délai de 2 ( deux)  jours ouvrés suivant la réception de l’information d’une commande par la société Very Précieuse SAS et expédier le produit à la société Very Précieuse SAS dans un délai de 4 ( quatre ) jours ouvrés. A défaut de réponse dans ce délai, la vente est annulée.

Confirmation of the order by the Seller implies that Very Précieuse SAS will check the conformity of the product and that Very Précieuse SAS is authorised to dispatch the Products ordered.

The seller undertakes to keep the products for sale on the site for a minimum period of 3 months.
The Seller undertakes to sell its product exclusively to Very Précieuse SAS.

The selling price of the Products is freely determined by the Sellers following a proposal from Very Précieuse SAS, in compliance with the laws and regulations in force.

This sale price must be accepted by Very Précieuse SAS before being put online on its website.weprecious.com

This price must be mentioned on the website weprecious.com all taxes and costs included, with delivery costs added by Very Précieuse SAS to the price of the order when the Purchaser validates his/her purchase.

The following delivery terms must be offered to Customers and complied with by Sellers:

1) The seller whose product is the subject of an order receives an e-mail confirming the order and requesting that the product be sent to Very Précieuse SAS.

2) Very Precieuse's Customer Service initiates the collection of the item by a specialised carrier from the Seller. The Seller receives an e-mail from the carrier with the dispatch note to be attached and an electronic link to schedule collection of the item on the date and at the location of his choice. The cost of transporting the item from the Seller to Very Précieuse SAS is prepaid by Very Précieuse SAS. The Seller will give the package to the carrier at the time of collection. He may also send it by his own means as soon as possible to the address indicated by Very Précieuse's Customer Service.

Si le vendeur envoie le produit passé un délai de quatre (4) jours calendaires,  suivant la commande, la société VERY PRECIEUSE pourrait avoir annulé la commande et remboursé l’acheteur. Le produit sera alors retourné au vendeur aux frais de ce dernier. Les parties pourront autoriser un délai supplémentaire pris d’un commun accord.

3) An independent expert will check the authenticity of the product against the online description as soon as the product is received.

4) The product is shipped to the Buyer and the shipping costs will be invoiced to the Buyer.

5) After expiry of the fourteen (14) day retraction period and in the absence of any claim made by the Buyer within the same period of five (5) days from receipt of the product, the sums received from the sale after reduction of Very Précieuse SAS's costs will be paid back to the Seller.

6) The Seller shall be obliged to reimburse the sums received by Very Précieuse SAS from the Buyer if the product is counterfeit, if the product is in breach of the provisions of Article 4-2, in addition to reimbursing the delivery costs and the Authenticity Guarantee check. 

7) The seller is personally liable under the legal guarantee of conformity of the products and the guarantee of hidden defects. It must fulfil these guarantees directly with the customer at the first request of Very Précieuse SAS.

ARTICLE 10 - Seller's liability - Warranty

Products sold via the website weprecious.com comply with the regulations in force in France and have performance levels compatible with non-professional use.

The Products supplied by the Vendor benefit from the right of withdrawal by operation of law and without additional payment, in accordance with the legal provisions, 

• the legal guarantee of conformity, for apparently defective, damaged or damaged Products or Products that do not correspond to the order,
• the legal warranty against hidden defects resulting from a material, design or manufacturing defect affecting the products delivered and rendering them unfit for use,

10-1 . Legal guarantee of conformity

The Vendor undertakes to deliver goods that comply with the contractual description and the criteria set out in Article L. 217-5 of the French Consumer Code. The Vendor shall be liable for any lack of conformity that exists at the time of delivery of the Products and which becomes apparent within two years of delivery.

This warranty period applies without prejudice to Articles 2224 et seq. of the French Civil Code, with the limitation period starting to run on the day the Buyer becomes aware of the lack of conformity.

Defects in conformity that appear within twenty-four months, or twelve months in the case of second-hand goods, of delivery of the Products are, in the absence of proof to the contrary, presumed to have existed at the time of delivery.

In the event of a lack of conformity, the Buyer may demand that the Products delivered be brought into conformity by repair or that the price be reduced or that the sale be rescinded, in accordance with the legal conditions.

However, replacement cannot be demanded, as products sold by a non-professional or professional seller are unique items.

Any Product brought into conformity under the legal conformity guarantee will benefit from a six-month extension of this guarantee.

If the compliance requested is impossible or involves disproportionate costs under the conditions set out in Article L 217-12 of the Consumer Code, the Seller may refuse to comply.

If the conditions set out in article L 217-12 of the French Consumer Code are not met, the Buyer may, after formal notice, pursue compulsory performance in kind of the solution initially requested, with the exception of replacement if the part is unique, in accordance with articles 1221 et seq. of the French Civil Code.

Finally, the Buyer may demand a price reduction or rescission of the sale (unless the lack of conformity is minor) in the cases provided for in article L 217-14 of the French Consumer Code.

Where the lack of conformity is so serious that it justifies the immediate cancellation of the sale, the Buyer is not then obliged to request repair beforehand.

The reduction in price is proportional to the difference between the value of the Product delivered and the value of this good in the absence of the lack of conformity.

If the sale is cancelled, the Buyer shall be reimbursed the price paid in exchange for the return of the non-conforming Products to Very Précieuse SAS, at the latter's expense.

The refund will be made as soon as the Customer receives the non-conforming Product or proof of its return, and at the latest within the following fourteen days, using the same means of payment as the one used by the Customer at the time of payment, unless the Customer expressly agrees otherwise, and in any event at no additional cost.

11-2 . Legal guarantee against hidden defects

The Seller is liable for hidden defects within the framework of the legal guarantee against hidden defects resulting from a material, design or manufacturing defect affecting the Products delivered and rendering them unfit for use.

The Customer may decide to invoke the warranty against hidden defects in the Products in accordance with Article 1641 of the French Civil Code; in this case, the Customer may choose between rescinding the sale or reducing the sale price in accordance with Article 1644 of the French Civil Code.

Requests are made to Very Précieuse SAS, which will pass on the terms to the seller. 

11-3 . Warranty exclusions

The Vendor cannot be held liable in the following cases: 

• failure to comply with the legislation of the country to which the products are delivered, which it is the Customer's responsibility to check
• in the event of misuse, use for professional purposes, negligence or lack of maintenance on the part of the Customer, as well as in the event of normal wear and tear of the Product, accident or force majeure.

ARTICLE 12 - Responsibilities of Very Précieuse

Please note that Very Précieuse SAS is not the Seller of the Products, and acts only as an intermediary. 

At no time does Very Précieuse SAS become the owner of the products.

The role of Very Précieuse SAS is to act as an intermediary between users of the Internet site weprecious.com.

Very Précieuse SAS makes the offers of Sellers available on its platform and to this end receives a mandate to carry out the following transactions on behalf of professional or non-professional Sellers:

- publish on the site weprecious.com as the offer for sale, the product sheet with the content transmitted by the Seller, together with the description of the product as seen in the photos, during the pre-inspection of the item, and information from the manufacturer of the product

- accept orders from Buyers in the name and on behalf of the Seller at the price indicated

– recevoir au nom et pour le compte du Vendeur sur un compte séquestre les sommes versées par l’Acheteur  au titre de la transaction

–  Conserver les fonds durant les délais de rétraction et de réclamation de l’Acheteur.

– transmettre et traiter de l’opportunité des réclamations  et les demandes de rétractation des Acheteurs 

In its capacity as intermediary, Very Précieuse SAS carries out a quality control of the products placed on the site and carries out an Authenticity check by a professional on the suitability of the products for the description given by the Seller.

However, Very Précieuse SAS undertakes to handle all claims following the sale of the product on the platform on behalf of the Seller.

Any dispute relating to a sales transaction carried out on the site weprecious.com sera transmise au  Vendeur qui sera tenue pour responsable des obligations légales de conformité ( L. 217-4 et suivant du Code de la consommation) et des vices cachés (articles 1641 à 1648 du Code civil) des produits vendus. 

Les Acheteurs non professionnels peuvent bénéficier de la garantie légale conformité pendant un délai de deux (2) ans à compter de la délivrance du  produit contre le Vendeur. 

In the case of second-hand products, the Buyer is exempt from proving the existence of a lack of conformity for a period of twelve (12) months. The Buyer shall request the Seller, via Very Précieuse SAS, to bring the goods into conformity, either by repair, reduction or cancellation of the sales contract.

With regard to the warranty for latent defects, the Buyer requests from the Seller, through Very Précieuse SAS, either the cancellation of the sale or a reduction in the sale price. It is up to the Buyer to establish that the hidden defect existed at the time of the sale.

Very Précieuse SAS may be held liable to the Buyer exclusively for acts directly attributable to it in its capacity as intermediary in the sale and which cause the Buyer direct loss, to the exclusion of any indirect loss.

The liability of Very Précieuse SAS shall not be liable for any misuse of the website's services. weprecious.com by the Buyer or any fault on its part. The Buyer shall not be held liable for acts attributable to a third party.

In accordance with the regulations in force, Very Précieuse SAS cannot be held responsible or liable for content made unavailable on the website. weprecious.com in particular with regard to the description of the Products, unless it does not promptly make them inaccessible after having been informed of their illegality under the conditions provided for by this law.

The Buyer is solely responsible for the use of the services of the website weprecious.comin particular the assessments it makes on the website weprecious.comand undertakes to indemnify and compensate Very Précieuse SAS on first request for any damage, loss or loss of profit that it may suffer if it is held liable by a third party as a result of an action relating to this use by the purchaser.

L’Acheteur  enregistré est seul autorisé à utiliser la plate-forme à l’aide de l’identifiant et du code d’accès nominatif donné. Il s’engage à ne proposer à aucune autre personne l’accès sous son identité ou son pseudo sur la plate-forme. Il s’engage également à ne pas prendre un identifiant portant atteinte aux droits d’un tiers.

The products remain the property of the seller until full payment of the price of the order has been received by the buyer on the website. weprecious.comThe risk of loss and deterioration is transferred to the purchaser upon receipt of the product by the purchaser. The transfer of the risks of loss and deterioration to the purchaser occurs at the time of receipt of the product by the purchaser. The purchaser will be held responsible after receipt for any damage caused to the product through his/her fault, without Very Précieuse SAS being held responsible by the seller.

Very Précieuse SAS is not the Seller of the Products. It can therefore under no circumstances be held responsible for legal guarantees of conformity and guarantees for hidden defects. The Products cannot be exchanged and any dispute relating to a sales transaction carried out through Very Précieuse SAS must be settled between the Buyer and the Seller through Very Précieuse SAS.

Very Précieuse SAS may only be held liable by the Seller for acts directly attributable to it and which cause the Seller direct loss, to the exclusion of any indirect loss.

Very Précieuse SAS is bound by a best endeavours obligation towards sellers.

Very Précieuse SAS shall not be held liable for any misuse of the site's services. weprecious.com by the Seller or any fault on its part. The Seller shall not be held liable for facts attributable to a third party.

The Seller guarantees and indemnifies Very Précieuse SAS, at its first request, against any prejudice and against any liability action brought against it as a result of the violation by the Seller of any right whatsoever of a third party, including a Customer, whether this prejudice results from the sale of Products, from the use made by the Seller of the services of the Very Précieuse SAS website or from the use of the Very Précieuse SAS website. weprecious.com or any other event attributable to it.

ARTICLE 13 - Prices

The Products are supplied at the prices freely fixed in agreement with the Seller and shown on the Product description sheet.

All prices are quoted in euros and include VAT, but exclude delivery, processing, dispatch, transport and customs charges.

The cost of delivery, processing, shipping and carriage for each Product is added when the Customer confirms the order.

Any announcement of a price reduction made by Very Précieuse SAS must indicate the price charged prior to the application of the price reduction, i.e. the lowest price charged to all consumers during the last thirty days prior to the application of the price reduction.

An invoice is issued by Very Précieuse SAS and given to the Customer upon delivery of the Products ordered. 

ARTICLE 14 - Remuneration for the services of Very Précieuse SAS

As remuneration for its services in putting Customers in contact with each other and for providing the technological tools necessary for this purpose, Very Précieuse SAS will receive from the Seller, for each order of Products placed by a Customer on the Internet site weprecious.com a "Selling expenses" commission equal to :

Scale of vendor charges:

From 200 to 600 Euros (Price incl. VAT) - 35% of the price incl. VAT 

From 600 to 1200 Euros (Price incl. VAT) - 28% of the price incl. VAT

From 1200 to 3000 Euros (Price incl. VAT) - 25% of the price incl. VAT

From 3000 to 5000 Euros (Price incl. VAT) - 22% of the price incl. VAT

From 5000 to 10000 Euros (Price incl. VAT) - 20% of the price incl. VAT

Over 10000 Euros (Price incl. VAT) - 18% of the price incl. VAT

The percentage is applied to the selling price of the product including VAT. 

In addition to the seller's costs listed above, the seller will be reimbursed for the cost of transporting the product from the seller's home to Very Précieuse SAS, as well as the cost of repairing the product once the repair has been approved by the seller and the estimate has been accepted by the Seller.

Very Précieuse SAS collects the sale price of the Products ordered in the name and on behalf of the Sellers.

Le montant du prix de vente est ensuite reversé par Very Précieuse SAS au Vendeur, déduction faite des frais vendeurs, frais de transport et frais de réparation le cas échéant, et après confirmation par l’acheteur  de la bonne réception des Produits commandés.

Payment is made as follows: 

- the seller authorises Very Précieuse SAS to deduct from the total price of the transaction the amount corresponding to the Seller's Costs

- In the absence of any dispute or request for retraction brought to the attention of Very Précieuse SAS within twenty (20) days of receipt of the product by the purchaser, payment will be made to the Seller.

Very Précieuse SAS reserves the right to suspend payment of sums due to the Seller in the event of a breach of its obligations.

If Very Précieuse SAS has not paid any sum to the seller in respect of the transaction, the seller shall not be entitled to any payment for a product which has been validly returned by the buyer under either the right of withdrawal or the right of complaint if the latter is justified.

The seller may not claim the benefit of any sums (interest and other) that may be generated by the temporary immobilisation of amounts received by Very Précieuse SAS in the event of a claim by the buyer.

No payment will be made to the seller until the buyer's claims and complaints have been resolved.

To obtain payment, the seller must send an email to hello@weprecious.com sbank details so that Very Précieuse SAS can make a transfer to its bank account.

The surname, first name or business name and address of the seller must match those of his bank account for the transfer to be made.

The reference currency is the euro.

ARTICLE 15 - Delivery of Products ordered

Delivery of the Products means the transfer to the Customer of physical possession or control of the Products ordered.

In accordance with the provisions of article L 216-4 of the Consumer Code, the delivery of the Products is accompanied by the handing over of all notices and a written document mentioning the possibility of expressing reservations.

The Products ordered by the Customer will be delivered in mainland France and French overseas departments within the delivery time indicated on the Product sheet, to which must be added the time required for processing and delivery to the address indicated by the Customer when placing the order on the website. weprecious.com.

Except in special cases or when one or more Products are unavailable, the Products ordered will be delivered in a single delivery.

Very Précieuse SAS undertakes to do its utmost to deliver the products ordered by the Customer within the times specified above. However, these delivery times are given for information only.

Very Precieuse SAS assumes the risks of transport and is obliged to reimburse the Customer in the event of damage caused during transport.

In the event of a specific request from the Customer concerning the conditions of packaging or transport of the products ordered, duly accepted in writing by Very Précieuse SAS, the related costs will be the subject of a specific additional invoice, based on an estimate previously accepted in writing by the Customer.

The Customer must confirm receipt of each Product ordered to Very Précieuse SAS within two (2) days of delivery. 

Failing this, the Product will be deemed to have been received by the Customer.

The Customer must check the condition of the Products delivered before signing the delivery note given by the carrier. The Customer has a period of five (5) days from the date of delivery in which to express any reservations or complaints by e-mail or registered post regarding non-compliance, defects or apparent faults in the Products delivered (for example, a damaged package that has already been opened, etc.), together with all the relevant supporting documents (photos in particular).

Once this period has elapsed and if these formalities have not been complied with, the Products will be deemed to be in conformity and free from any apparent defect.

It should be noted that the absence of reservations formulated by the Customer at the time of delivery of the Products does not exonerate the Customer from the guarantee of conformity, as described.

ARTICLE 16 - Transfer of ownership - Transfer of risks

The transfer of ownership of the Vendor's Products to the Buyer will only take place once the price has been paid in full by the Buyer..

Whatever the date of transfer of ownership of the Products, the transfer of the risks of loss and deterioration relating thereto will only take place when the Buyer takes physical possession of the Products.

The Products therefore travel at the risk of Very Précieuse SAS, except when the Purchaser uses a carrier of his own choosing, independent of Very Précieuse SAS, in which case the transfer of risks takes place when Very Précieuse SAS hands over the Products ordered to the carrier chosen by the Purchaser. 

ARTICLE 17 - Termination of access to Very Précieuse SAS services

Sellers and Purchasers may cease to access the services of Very Précieuse SAS, without having to justify their decision on any particular grounds, subject to giving fifteen (15) working days' notice and honouring current orders.

In the event of breach of any of its obligations by the Seller or the Buyer under these GCS, Very Précieuse SAS may, after formal notice has been sent by any means without effect for a period of fifteen (15) working days, definitively cut off access to its services by registered letter with acknowledgement of receipt, without the Seller or the Buyer being entitled to claim any compensation whatsoever.

In the event of a serious and/or repeated breach by the Seller or the Buyer of its obligations or affecting its accounts, such as fraud, abusive language, counterfeiting, infringement of third party rights, etc., Very Précieuse SAS may deprive the Seller and the Buyer of all access to its services, without the Seller or the Buyer being entitled to claim any compensation whatsoever.

ARTICLE 18 - Protection of personal data

En application de la loi 78-17 du  6 janvier 1978 modifiée par la loi n°2018-493 du 20 juin 2018, il est rappelé que les données nominatives demandées à l’Acheteur et au Vendeur par la société Very Précieuse SAS sont nécessaires à la passation et au traitement de sa commande.

Under no circumstances may they be used for any other purpose.

Each Seller only has access, after specific and justified requests, to the data provided by the Buyer to Very Précieuse SAS when the order is placed.

It should be noted that the Sellers are aware of the data necessary for Customer orders relating to Product orders collected by Very Précieuse SAS. Customers are informed by Very Précieuse SAS that this data, and in particular the information necessary for the delivery of the Products, is transferred, for this sole purpose, to the Sellers, who undertake to use this data only for information relating to the delivery of the Products and to enable them to fulfil their legal obligations relating thereto. They undertake not to keep any copy of this data once the legal guarantees of conformity and hidden defects of the Products ordered have expired, any other use being strictly prohibited.

Very Précieuse SAS undertakes to ensure the security of the personal data it stores for the purposes of processing and tracking orders.

The processing of information communicated via the website weprecious.com complies with the legal requirements for the protection of personal data, and the information system used ensures optimum protection of this data.

In accordance with current national and European regulations, the Buyer and the Seller have a permanent right of access, modification, rectification, opposition, portability and limitation of the processing of information concerning them.

This right can be exercised under the conditions and according to the procedures defined on the website weprecious.com.

ARTICLE 19 - Intellectual property

Website content weprecious.com is the property of Very Précieuse SAS and its partners and is protected by French and international intellectual property laws.

Any total or partial reproduction of this content is strictly prohibited and may constitute an infringement of copyright.

ARTICLE 20 - Force majeure

The Parties shall not be held liable if the non-performance or delay in the performance of any of their obligations as described herein is due to force majeure, as defined in article 1218 of the French Civil Code.

ARTICLE 21 - Applicable law - Language

These General Terms and Conditions of Sale and any transactions arising from them are governed by and subject to French law.

These General Terms and Conditions of Sale are written in French.

If they are translated into one or more foreign languages, only the French text will be deemed authentic in the event of a dispute.

ARTICLE 22 - Partial nullity

If one or more of the stipulations herein are held to be invalid or declared as such in application of a law, regulation or final decision of a competent court, the other stipulations shall retain all their force and scope.

23-1 . Customer acceptance

The purchaser acknowledges having been informed by Very Précieuse SAS in a legible and comprehensible manner, prior to his/her immediate purchase or the placing of the order and in accordance with the provisions of article L 221-5 of the French Consumer Code, 

• on the essential characteristics of the Products and in particular the specifications, illustrations and indications of dimensions or capacity enabling it to acquire the Products with full knowledge of the facts, in particular as regards their conditions of use. The photographs and graphics presented are not contractual and shall not incur the liability of Very Précieuse SAS. The purchaser must refer to the description of each Product in order to know its properties and essential characteristics;

• delivery times for Products ordered in the absence of immediate completion of the sale;

• on termination procedures, dispute settlement procedures, other contractual terms and conditions and, where applicable, on the costs of using remote communication technology, the existence of codes of conduct and financial deposits and guarantees;
• on the right of withdrawal and how to exercise it
• on the possibility of having recourse to a consumer mediator, under the conditions set out in the Consumer Code.

The fact that the Buyer places an order on the Internet site weprecious.com implies full acceptance of these General Terms and Conditions of Sale, which is expressly recognised by the Buyer, who waives, in particular, the right to rely on any contradictory document which would be unenforceable against Very Précieuse SAS.

ARTICLE 24 - Disputes

Any dispute relating to the interpretation and/or performance of these Vendor Terms and Conditions shall be subject to the jurisdiction of the French courts.

It is reminded that any dispute or claim concerning the sale, description or delivery of the Products must be settled through Very Précieuse SAS between the Buyer and the Seller.

The Customer has the possibility of notifying Very Précieuse SAS, on his personal space reserved on the Internet site weprecious.comIn the event of a claim, in particular concerning the non-receipt of the Product, its non-conformity with the order or the receipt of a damaged Product.

The buyer, the Seller and Very Précieuse SAS shall make their best efforts to resolve the dispute amicably.

The buyer is hereby informed that he/she may in any event have recourse to conventional mediation, in particular with the Commission de la médiation de la consommation (C. consom. art.L 612-1) or with the existing sectoral mediation bodies, the references of which are given on the website weprecious.com or to any alternative dispute resolution method in the event of a dispute.

In accordance with the rules applicable to mediation, any consumer dispute must first be submitted via the procedure referred to above (prior complaint submitted directly to Very Précieuse SAS on the website weprecious.com) before any request for mediation.
